Terms of Service

1. Seller and Contracting Party

These Terms of Service ("Terms") govern your access to and use of ClositAI, an AI-powered sales objection coaching service. The seller and contracting party is ClositAI ("ClositAI", "we", "us", "our").

2. Acceptance

By creating an account, buying a subscription, accessing, or continuing to use ClositAI, you agree to these Terms. If you do not agree, you must not use the service. If you use ClositAI for an organization, you confirm you have authority to bind that organization. You must be legally able to enter into a contract in your jurisdiction.

3. The Service and License

ClositAI provides AI-generated sales objection scenarios, practice tools, feedback, scoring, usage limits, and objection library features. Subject to these Terms and your selected plan, we grant you a limited, non-exclusive, non-transferable, revocable license to use ClositAI for your internal sales practice and training.

4. Accounts and Credentials

You must provide accurate account and billing information, keep it updated, maintain the confidentiality of credentials, and promptly notify us of unauthorized access. You are responsible for activity under your account.

5. Acceptable Use and Misuse

You must not misuse ClositAI. Prohibited conduct includes unlawful use; fraud, spam, harassment, or deceptive activity; infringement of intellectual property or privacy rights; malware, probing, scraping, automated abuse, or interference with security; reverse engineering or circumventing technical limits; reselling or redistributing access; attempting to jailbreak or extract underlying AI systems; generating illegal, hateful, abusive, sexual, deceptive, or harmful content; and using outputs for regulated professional advice without qualified human oversight.

6. User Content and AI Outputs

You are responsible for prompts, context, objections, and other content you submit, and you must have the rights needed to use that content. You retain your rights in your inputs. To operate ClositAI, you grant us a limited license to host, process, transmit, display, and create AI outputs from your content solely to provide, secure, support, and improve the service. AI outputs may be inaccurate, incomplete, or unsuitable for your situation; you are responsible for reviewing and verifying outputs before relying on them.

7. Intellectual Property

ClositAI and its software, workflows, prompts, interface, documentation, design, trademarks, branding, content, and other intellectual property are owned by ClositAI or its licensors. Except for the limited license expressly granted above, no rights are transferred to you.

8. Payment, Subscriptions, Renewals, and Refunds

Paid plans are billed in advance on a recurring monthly basis unless stated otherwise at checkout. Subscriptions renew automatically until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, invoices, renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, together with these Terms and our Refund Policy.

9. Cancellation and Account Updates

You may cancel, upgrade, downgrade, or update subscription details through the billing controls available in your account or through Paddle where available. Cancellation stops future renewals, but access to paid features generally continues until the end of the paid billing period unless Paddle or applicable law requires otherwise.

10. Suspension and Termination

We may suspend or terminate access immediately for material breach of these Terms, non-payment, security or fraud risk, legal risk, repeated or serious policy violations, or activity that could harm ClositAI, users, third parties, or service integrity. On termination, your right to use ClositAI ends. We may retain or delete data according to our Privacy Policy.

11. Service Availability

We aim to provide a reliable service, but ClositAI is provided without any guarantee of uninterrupted, secure, or error-free operation. Features may change, be limited, or be discontinued where reasonably necessary.

12. Warranties and Liability

To the fullest extent permitted by law, ClositAI is provided "as is" and we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity. Our aggregate liability is capped at the amount you paid for ClositAI in the 12 months before the claim. Nothing in these Terms limits liability where the law does not allow limitation, including fraud, death, or personal injury caused by negligence.

13. Indemnity

You agree to indemnify and hold ClositAI harmless from third-party claims, damages, liabilities, costs, and expenses arising from your content, unlawful use, misuse of AI outputs, infringement of rights, or breach of these Terms.

14. Changes, Governing Law, and Contact

We may update these Terms from time to time. Material changes will be notified in-product, by email, or by updating this page. Continued use after changes take effect means acceptance. These Terms are governed by the laws of the jurisdiction in which ClositAI is established, without regard to conflict of laws principles. Questions about these Terms can be sent to simsekby@gmail.com.
